Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Binaryscript Private Limited ("Company," "we," "us," or "our") concerning your access to and use of the Attendance Tracker mobile application (the "App").

BY DOWNLOADING, INSTALLING, OR USING THE APP, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE APP.

1. Eligibility

1.1 Age Requirement

You must be at least 18 years of age to use this App. By using the App, you represent and warrant that you are 18 years of age or older.

1.2 Legal Capacity

You must have the legal capacity to enter into a binding agreement. If you are using the App on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

1.3 Compliance

You agree to comply with all applicable local, state, national, and international laws and regulations in your use of the App.

2. License to Use the App

2.1 Grant of License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on your personal mobile device solely for your personal or internal business purposes.

2.2 Restrictions

You agree NOT to:

• Modify, adapt, translate, or create derivative works of the App
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
• Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices
• Rent, lease, lend, sell, sublicense, or otherwise transfer the App to any third party
• Use the App for any illegal or unauthorized purpose
• Use the App to violate any applicable laws or regulations
• Distribute, publish, or make the App available on any network where it could be used by multiple devices at the same time
• Use any automated system or software to extract data from the App ("scraping")
• Attempt to gain unauthorized access to any portion of the App or its related systems
• Use the App in any manner that could damage, disable, overburden, or impair our servers or networks

2.3 Ownership

The App and all intellectual property rights therein are and shall remain the exclusive property of Binaryscript Private Limited. These Terms do not grant you any rights to our trademarks, service marks, or logos.

3. App Description and Features

3.1 Service Description

Attendance Tracker is a professional workforce management application designed for contractors, business owners, and farm owners. The App provides:

• Attendance Tracking: Daily attendance with day multipliers (0.5 for half-day, 1 for full-day/Present, 1.5 for P+½, 2× for P+P/double overtime)
• Salary Calculation: Automatic salary calculation based on daily, weekly, or monthly wage rates
• Advance Payment Tracking: Track advances given to employees and balance management
• PDF Report Generation: Create and share detailed attendance and salary reports
• Cashbook/Transaction Tracking: Track income and expenses
• Cloud Backup: Optional backup to Google Drive
• Multi-Language Support: 11 Indian languages (Hindi, English, Gujarati, Marathi, Bengali, Tamil, Telugu, Kannada, Malayalam, Punjabi, Odia)
• Offline-First: Full functionality without internet connection

3.2 Core Features (Free)

The App provides the following features at no cost:

• Employee/Labor management
• Attendance tracking with day multipliers
• Salary calculation (daily, weekly, monthly)
• Advance payment tracking
• Basic PDF report generation
• Multi-language support
• Cashbook/transaction tracking
• Cloud backup to Google Drive
• Google AdMob advertisements

3.3 Premium Features (Subscription Required)

Premium subscription includes:

• Unlimited PDF report generation
• Advanced report customization
• Ad-free experience
• Priority customer support
• Additional features as added

3.4 No Warranty of Availability

We strive to ensure the App is available at all times, but we do not guarantee uninterrupted access. The App may be unavailable due to maintenance, updates, or circumstances beyond our control.

4. Premium Subscription

4.1 Subscription Plans

Premium features are available through subscription plans offered via Google Play Store. Current subscription options and pricing are displayed in the App (in Indian Rupees - INR).

4.2 Billing

• All subscriptions are billed through Google Play Store
• Payment will be charged to your Google Play account at confirmation of purchase
• Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period
• You can manage subscriptions and turn off auto-renewal in your Google Play account settings

4.3 Free Trials

If we offer a free trial:

• The free trial period will be specified in the App
• You may be charged when the trial period ends unless you cancel before the trial expires
• Cancel anytime during the free trial to avoid charges

4.4 Price Changes

We reserve the right to change subscription prices at any time. Price changes will apply to new subscribers and to existing subscribers upon their next renewal after reasonable notice has been provided.

4.5 Refunds

For detailed information about refunds, please see our separate Refund Policy.

Generally, refunds are handled according to Google Play Store's refund policy. You may request a refund from Google Play within the timeframe specified by Google's policy. For exceptional circumstances, contact us at [email protected].

4.6 Cancellation

You may cancel your subscription at any time through your Google Play account settings. Cancellation will take effect at the end of the current billing period, and you will retain access to premium features until that time. No refund will be provided for the remaining time in the current period.

4.7 No Refund for Partial Periods

No refunds or credits will be provided for partial subscription periods.

5. User Content and Data

5.1 Your Data

You retain all rights to the data you create and store in the App, including:

• Employee/labor information
• Attendance records
• Financial data (salaries, advances, cashbook entries)
• Reports and documents you generate

5.2 Data Storage

• All data is stored locally on your device
• We do not have access to your data unless you explicitly contact us for support
• You are solely responsible for maintaining backups of your data

5.3 Cloud Backup

• If you use the Google Drive backup feature, your data is stored in YOUR personal Google Drive account
• We do not have access to your Google Drive or your backup files
• You are responsible for managing your Google Drive storage and backups
• Backup and restore functionality depends on Google Drive's availability

5.4 Data Accuracy

You are responsible for ensuring the accuracy and legality of all data you enter into the App, including:

• Employee/labor information
• Attendance records
• Proper application of day multipliers (0.5, 1, 1.5, 2×)
• Wage rates and salary calculations
• Advance payments and balances

5.5 Data Loss

We are not liable for any loss of data due to device failure, uninstallation, user error, or any other cause. You are strongly encouraged to regularly backup your data using the cloud backup feature or other methods.

6. Advertising

6.1 Display of Ads

The free version of the App displays advertisements provided by Google AdMob. By using the free version, you agree to the display of such advertisements.

6.2 Third-Party Advertisers

Advertisements are provided by third parties. We are not responsible for the content of advertisements or the practices of advertisers. Your interactions with advertisers are solely between you and the advertiser.

6.3 Ad-Free Experience

Premium subscribers receive an ad-free experience. We reserve the right to modify which features include or exclude advertisements.

7. Prohibited Uses

You agree not to use the App:

• To violate any laws, regulations, or ordinances
• To infringe upon the intellectual property rights of others
• To transmit any viruses, malware, or malicious code
• To harass, abuse, or harm another person
• To impersonate any person or entity
• To collect or store personal data about other users without their consent
• To interfere with or disrupt the App or servers/networks connected to the App
• For any commercial purpose not expressly permitted by these Terms
• To attempt to circumvent any security features or access controls
• To use the App in any way that could damage our reputation or business

8. User Responsibilities

9.2 No Guarantee of Accuracy

While we strive to ensure the App functions correctly, we do not warrant that:

• The App will meet your specific requirements
• Salary calculations or other computations will always be accurate
• The App will be available at all times without interruption
• All errors or bugs will be corrected
• The App is free from viruses or other harmful components

10. Limitation of Liability

10.1 No Liability for Damages

10.2 Maximum Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR ₹1,000 (ONE THOUSAND INDIAN RUPEES), WHICHEVER IS GREATER.

10.3 Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Binaryscript Private Limited, its officers, directors, employees, agents, affiliates, and partners from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the App
• Your violation of these Terms
• Your violation of any rights of third parties
• Your violation of any applicable laws or regulations
• Any data you submit, post, or transmit through the App
• Any negligent or wrongful conduct by you
• Incorrect salary calculations or payments to employees

12. Third-Party Services

12.1 Integration with Third-Party Services

The App integrates with third-party services including:

• Google Drive (for cloud backup)
• Google Play Services (for subscriptions)
• Google AdMob (for advertising)
• Firebase Crashlytics (for crash reporting)

12.2 Third-Party Terms

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the actions, policies, or content of third-party services.

12.3 No Endorsement

We do not endorse and are not responsible for the availability, accuracy, or content of third-party services.

13. Multi-Language Support

14. Intellectual Property Rights

14.1 Our Intellectual Property

All content, features, and functionality of the App, including but not limited to software code, user interface design, graphics, logos, icons, text, and documentation, are owned by Binaryscript Private Limited and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

14.2 Trademarks

"Attendance Tracker" and associated logos are trademarks of Binaryscript Private Limited. You may not use these trademarks without our prior written permission.

14.3 Feedback

If you provide us with any feedback, suggestions, or ideas about the App ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our products and services without any obligation to you.

15. Modifications to the App

We reserve the right to:

• Modify, suspend, or discontinue any aspect of the App at any time
• Change the features, functionality, or content of the App
• Impose limits on certain features or restrict access to parts of the App

We will make reasonable efforts to notify you of material changes, but we are not obligated to do so. Your continued use of the App after changes constitutes acceptance of those changes.

16. Modifications to These Terms

We may modify these Terms at any time. When we do:

• We will update the "Last Updated" date at the top of these Terms
• We may notify you through the App or by email
• Material changes will be effective upon notice
• Non-material changes will be effective immediately upon posting

Your continued use of the App after changes are posted constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the App.

17. Termination

17.1 Termination by You

You may stop using the App at any time by uninstalling it from your device. If you have an active subscription, you should cancel it through Google Play to avoid future charges.

17.2 Termination by Us

We reserve the right to suspend or terminate your access to the App at any time, with or without notice, for any reason, including violation of these Terms, fraudulent or illegal activity, or conduct that is harmful to other users or our business.

17.3 Effect of Termination

Upon termination:

• Your license to use the App will immediately cease
• You must delete the App from your devices
• Any outstanding subscription fees remain due and payable
• Provisions of these Terms that by their nature should survive will survive

17.4 No Refund Upon Termination

If we terminate your access for violation of these Terms, you will not be entitled to any refund of subscription fees.

18. Dispute Resolution

18.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

18.2 Jurisdiction

Any legal action or proceeding arising out of or related to these Terms or the App shall be instituted exclusively in the courts located in India. You consent to the exclusive jurisdiction and venue of such courts.

18.3 Informal Resolution

Before filing any formal legal action, you agree to first contact us at [email protected] to seek an informal resolution of the dispute. We will respond within 30 business days.

18.4 Class Action Waiver

You agree to bring claims against us only in your individual capacity and not as a plaintiff or class member in any class or representative action.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Binaryscript Private Limited concerning the App and supersede all prior agreements and understandings.

19.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

19.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

19.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

19.5 No Agency

No agency, partnership, joint venture, or employment relationship is created between you and Binaryscript Private Limited as a result of these Terms or your use of the App.

19.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

19.7 Notices

All notices to you will be provided via email to the address you provided or through in-app notifications. All notices to us should be sent to [email protected].

19.8 Language

These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version shall prevail.
