Terms of Service for AutoPay Manager

Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the AutoPay Manager mobile application (the "App") operated by Binaryscript Private Limited ("Company", "we", "us", or "our").

Your access to and use of the App is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all users of the App.

1. Definitions

• "App" refers to the AutoPay Manager mobile application.
• "Service" refers to the features and functionality provided by the App.
• "User", "you", "your" refers to the individual using the App.
• "Subscription" refers to the paid subscription plans offered by the App.
• "Content" refers to any data, text, or information displayed in the App.
• "Autopay" refers to recurring automatic payment transactions.

2. Eligibility

2.1 Age Requirement

You must be at least 18 years old to use this App. By using the App, you represent and warrant that you are at least 18 years of age.

2.2 Geographic Restriction

The App is currently available only for users in India.

2.3 Legal Capacity

You must have the legal capacity to enter into a binding agreement to use this App.

3. Account Registration

3.1 Account Creation

To use the App, you must create an account by providing:

• A valid Indian mobile phone number
• Verification through OTP or Truecaller authentication

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

4. Subscription Terms

4.1 Subscription Plans

The App operates on a subscription-only model. Access to the App's features requires an active subscription.

4.2 Billing

• Subscriptions are billed in advance on a recurring basis
• Billing cycles may be monthly, quarterly, or yearly
• Payment is processed through Google Play Store

4.3 Automatic Renewal

Subscriptions automatically renew unless:

• You cancel at least 24 hours before the end of the current period
• We discontinue the service

4.4 Cancellation

• You may cancel your subscription at any time through Google Play Store
• Cancellation takes effect at the end of the current billing period
• No refunds for partial subscription periods

4.5 Price Changes

We reserve the right to modify subscription prices. Price changes will:

• Be communicated in advance
• Take effect at the start of the next billing cycle
• Not affect current billing period

4.6 Free Trial

If offered, free trial terms:

• One free trial per user/device
• Automatically converts to paid subscription unless cancelled
• Full features available during trial period

5. Permitted Use

5.1 License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes.

5.2 Acceptable Use

You agree to use the App only for:

• Tracking your personal autopay subscriptions
• Managing your recurring payments
• Personal financial organization

5.3 Prohibited Use

You agree NOT to:

• Use the App for any illegal purpose
• Attempt to gain unauthorized access to the App or its systems
• Interfere with or disrupt the App's functionality
• Reverse engineer, decompile, or disassemble the App
• Use the App to harm, threaten, or harass others
• Share your account with others
• Use automated systems to access the App
• Misrepresent your identity or affiliation
• Use the App to collect data about other users

• Damages arising from use or inability to use the App
• Damages from unauthorized access to your data
• Damages from errors in auto-detected information

10.2 Maximum Liability

Our total liability shall not exceed the amount paid by you for the subscription in the 12 months preceding the claim.

10.3 Essential Purpose

Some jurisdictions do not allow limitation of liability. In such cases, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Binaryscript Private Limited and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of applicable laws

12. Termination

12.1 By You

You may terminate your account at any time by:

• Cancelling your subscription through Google Play Store
• Contacting us to delete your account

12.2 By Us

We may terminate or suspend your account immediately, without notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of subscription fees
• At our sole discretion

12.3 Effect of Termination

Upon termination:

• Your right to use the App ceases immediately
• We may delete your account data
• Provisions that should survive will remain in effect

13. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any legal proceedings shall be conducted in the courts of Raipur, Chhattisgarh, India.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the App.

We will notify you of material changes through:

• In-app notification
• Email (if provided)
• App update notes

Your continued use after changes constitutes acceptance of the modified Terms.

16. General Provisions

16.1 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16.2 Waiver

Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

16.3 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Binaryscript Private Limited regarding the App.
