Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and BinaryScript Private Limited ("Company," "we," "us," or "our") concerning your access to and use of the Offline Shop mobile application ("App").

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

1. Description of Service

Offline Shop is a mobile application designed for retail shop owners and business operators to manage their business operations offline. The App provides:

  • Inventory management (products, stock, categories)
  • Order management and tracking
  • Customer database management
  • Sales reports and analytics
  • Barcode scanning functionality
  • Low stock alerts and notifications
  • Offline-first functionality

Offline-First Design: The App stores all business data locally on your device and operates without requiring an internet connection for core functionality.

2. Eligibility

You must be at least 18 years old to use this App. By using the App, you represent and warrant that you:

  • Are at least 18 years of age
  • Have the legal capacity to enter into these Terms
  • Will use the App in compliance with these Terms and all applicable laws

The App is intended for business use by shop owners, retailers, and business operators.

3. License to Use
3.1 Grant of License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Download and install the App on devices you own or control
  • Use the App for your personal or business purposes
3.2 License Restrictions

You agree NOT to:

  • Modify, reverse engineer, decompile, or disassemble the App
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use the App for any illegal or unauthorized purpose
  • Copy, distribute, or create derivative works of the App
  • Attempt to gain unauthorized access to the App or its systems
  • Use the App to transmit viruses, malware, or harmful code
  • Rent, lease, sell, or sublicense the App to third parties
  • Use the App in any way that violates applicable laws or regulations
4. Free Version and Subscriptions
4.1 Free Version

The App offers a free version with:

  • Full functionality (unlimited products and orders)
  • Advertisement-supported experience
  • Access to all core features
4.2 Premium Subscriptions

Premium subscriptions are available with the following benefits:

  • Ad-free experience
  • All premium features unlocked
  • Priority customer support
  • Future premium features

Premium Plans:

  • Monthly Subscription: ₹99/month
  • Yearly Subscription: ₹999/year (Save 16%)
  • Lifetime Purchase: ₹2,999 (one-time payment)
4.3 Subscription Terms
  • Subscriptions are billed through Google Play Store
  • Payment is charged to your Google Play account at confirmation of purchase
  • Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period
  • You can manage subscriptions and turn off auto-renewal in your Google Play account settings
  • No refund for the current active subscription period when canceling
  • When you cancel, premium features remain active until the end of the paid period
5. Payments and Billing
5.1 Payment Processing

All payments are processed through Google Play Store. By making a purchase, you agree to Google Play's terms of service and payment terms.

5.2 Pricing
  • Prices are listed in Indian Rupees (INR)
  • Prices are subject to change with notice
  • You will be charged the price displayed at the time of purchase
  • Price changes do not affect active subscriptions until renewal
5.3 Taxes

You are responsible for any applicable taxes, duties, or government charges related to your purchase.

7. User Responsibilities
7.1 Data Management

You are solely responsible for:

  • All data you enter into the App
  • Creating backups of your business data
  • Accuracy and legality of your business data
  • Securing your device and App data
  • Compliance with data protection laws in your jurisdiction
7.2 Device Security

You must:

  • Keep your device secure with passwords/biometrics
  • Not allow unauthorized access to your device
  • Use the App only on devices you own or control
  • Notify us immediately of any security breach
7.3 Compliance

You agree to:

  • Use the App in compliance with all applicable laws and regulations
  • Not use the App for illegal activities
  • Comply with tax and business regulations in your jurisdiction
  • Not misrepresent your business or products
8. Data and Privacy
8.1 Your Data Ownership

You retain all rights and ownership of your business data stored in the App. We do not claim any ownership rights to your data.

8.2 Local Storage

All your business data is stored locally on your device. We do not have access to, store, or backup your business data on our servers.

8.3 Privacy Policy

8.4 Data Loss

We are not responsible for data loss due to:

  • Device failure or damage
  • App uninstallation
  • Device reset or factory restore
  • User error or accidental deletion
  • Software conflicts or device issues

You are strongly encouraged to regularly backup your data.

9. Intellectual Property
9.1 Our Ownership

The App and all its content, features, and functionality (including but not limited to software, code, design, graphics, logos, and trademarks) are owned by BinaryScript Private Limited and are protected by Indian and international copyright, trademark, and other intellectual property laws.

9.2 Trademarks

"Offline Shop" and related logos are trademarks of BinaryScript Private Limited. You may not use our trademarks without our prior written permission.

9.3 Feedback

If you provide feedback, suggestions, or ideas about the App, you grant us the right to use such feedback without any obligation to you.

10. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy, reliability, or availability
  • Error-free or uninterrupted operation
  • Security or virus-free operation

WE DO NOT WARRANT THAT:

  • The App will meet your requirements
  • The App will be uninterrupted, timely, secure, or error-free
  • Any defects will be corrected
  • The App is free from viruses or harmful components

USE OF THE APP IS AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

11.1 No Liability for Damages

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits or revenue
  • Loss of business data
  • Business interruption
  • Loss of business opportunity
  • Cost of substitute services
11.2 Maximum Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ₹5,000 (FIVE THOUSAND RUPEES), WHICHEVER IS LESS.

12. Indemnification

You agree to indemnify, defend, and hold harmless BinaryScript Private Limited, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the App
  • Your violation of these Terms
  • Your violation of any laws or regulations
  • Your violation of third-party rights
  • Any data you input into the App
  • Your business operations using the App
13. Third-Party Services

The App integrates with third-party services:

  • Firebase (Google) - for analytics and crash reporting
  • Google Play Services - for payments and app distribution

These third-party services are governed by their own terms and privacy policies. We are not responsible for third-party services or their practices.

14. Modifications to the App

We reserve the right to:

  • Modify, update, or discontinue the App at any time
  • Add or remove features
  • Change subscription pricing (with notice to existing subscribers)
  • Perform maintenance that may temporarily interrupt service

We will provide reasonable notice for significant changes when possible.

15. Termination
15.1 Termination by You

You may stop using the App at any time by:

  • Uninstalling the App from your device
  • Canceling your subscription (if applicable)
15.2 Termination by Us

We may terminate or suspend your access to the App immediately, without notice, if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • We are required to do so by law
  • We discontinue the App
15.3 Effect of Termination

Upon termination:

  • Your license to use the App terminates
  • You must uninstall the App from all devices
  • Active subscriptions may be forfeited without refund (if terminated for violations)
  • Provisions that should survive termination will remain in effect
16. Governing Law and Dispute Resolution
16.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

16.2 Jurisdiction

Any disputes arising from these Terms or the App shall be subject to the exclusive jurisdiction of the courts in India.

16.3 Dispute Resolution Process

Before filing any legal action, you agree to:

  2. Provide a detailed description of the dispute
  3. Allow 30 days for us to attempt to resolve the issue
16.4 Arbitration (Optional)

If informal resolution fails, disputes may be resolved through arbitration under the Arbitration and Conciliation Act, 1996, in India.

17. Acceptable Use Policy

You agree NOT to use the App to:

  • Store or manage illegal products or services
  • Facilitate any illegal business activities
  • Infringe on intellectual property rights of others
  • Harass, threaten, or harm others
  • Transmit spam, viruses, or malicious code
  • Attempt to gain unauthorized access to the App or other systems
  • Use the App in any way that could damage, disable, or impair the App
  • Use automated systems (bots, scripts) to access the App
18. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by:

  • Updating the "Last Updated" date at the top
  • Providing notice within the App
  • Sending notifications through the App (if applicable)

Your continued use of the App after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the App.

19. App Updates
19.1 Updates and Upgrades

We may release updates, patches, or upgrades to the App. These may:

  • Add new features
  • Fix bugs and security issues
  • Improve performance
  • Be required for continued use
19.2 Automatic Updates

If you have enabled automatic updates on your device, the App may update automatically. You are responsible for ensuring you have sufficient data and storage for updates.

20. Miscellaneous
20.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BinaryScript Private Limited regarding the App.

20.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full effect.

20.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

20.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our written consent. We may assign these Terms without restriction.

20.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

22. Acknowledgment

BY DOWNLOADING, INSTALLING, OR USING THE OFFLINE SHOP APPLICATION, YOU ACKNOWLEDGE THAT:

  • You have read and understood these Terms of Service
  • You agree to be bound by these Terms
  • You have read and agree to our Privacy Policy
  • You are at least 18 years of age
  • You will use the App in compliance with all applicable laws

If you do not agree to these Terms, you must immediately uninstall the App and cease all use.
