These Terms and Conditions ("Terms") govern your use of the Silence Cutter mobile application (the "App") published by BinaryScript ("we", "us", "our").
By installing, opening, or using the App, you agree to be bound by these Terms. If you do not agree, uninstall the App.
1. License
We grant you a personal, non-exclusive, non-transferable, revocable license to install and use the App on devices that you own or control, for personal or commercial editing of video content that you own or have permission to edit.
This is a license, not a sale. We retain all rights, title, and interest in the App.
2. What You Can Do With the App
You may:
- Use the App to edit any video file you have the legal right to modify.
- Distribute, sell, monetize, or publish the videos that you produce using the App. We make no claim on your output.
- Use the App as part of a commercial workflow, including for paid client work.
You retain full ownership of every input and every output. We never see, host, or process your files at any point.
3. What You May Not Do
You may not:
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except to the extent that applicable law expressly permits this despite the restriction.
- Modify, adapt, or create derivative works of the App's binaries.
- Resell, sublicense, or redistribute the App or any APK/AAB built from its source as if it were your own product.
- Use the App to process content that you do not have the legal right to modify (copyrighted material you do not own or license, etc.).
- Use the App to create unlawful, harmful, harassing, defamatory, or deceptive content.
- Circumvent any technical limitation imposed by the App.
The App's source-code license, if any, is governed separately at the project's source repository and is not affected by these Terms.
4. Content You Produce
You are solely responsible for the content you import, edit, and export using the App.
You represent and warrant that you have the right to:
- Upload or import every input file you process with the App.
- Distribute or publish every output file you produce with the App.
We are not responsible for any infringement, defamation, or other harm arising from content you process. We have no insight into and no control over your files; everything stays on your device.
5. Subscriptions and Payments
The App offers paid subscription tiers processed through Google Play Billing.
- Prices, features, and limits of each tier are displayed inside the App before you subscribe.
- Subscription fees are charged to your Google Play account upon purchase and upon each automatic renewal.
- Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period. You can manage or cancel subscriptions through your Google Play account settings.
- A free trial (where offered) will automatically convert to a paid subscription at the end of the trial period unless canceled beforehand.
- Refunds are handled in accordance with our Refund Policy and Google Play's refund policy.
- Taxes may apply based on your location and are handled by Google Play.
We reserve the right to change subscription prices, features, and tier structures. Price changes will not affect active subscription periods already paid for.
6. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
We do not guarantee that:
- The App will be uninterrupted, bug-free, or compatible with every Android device or version.
- Silence-detection results will be perfect on every recording.
- On-device transcription accuracy will meet any specific standard.
- Exported files will be accepted by every social-media platform or downstream tool.
You use the App at your own risk. Always keep an original copy of any important video before editing it.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL BINARYSCRIPT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total cumulative liability for any claim arising out of or related to the App will not exceed the amount you paid for the App in the twelve months preceding the claim, or INR 500, whichever is greater.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages; in those jurisdictions, our liability is limited to the smallest amount permitted by law.
8. Indemnification
You agree to indemnify and hold harmless BinaryScript and its developers from any claim, demand, loss, or damages — including reasonable attorneys' fees — arising from:
- Your use of the App in violation of these Terms.
- Content you process with the App that infringes on a third party's rights.
- Any unlawful use of the App by you.
9. Privacy
Your use of the App is also governed by our Privacy Policy, which is available alongside these Terms and at the public URL listed in the App's Play Store listing. The Privacy Policy is incorporated into these Terms by reference.
Summary: the App does not collect, transmit, or share any personal data outside of what Google Play Billing requires for subscription processing.
10. Updates and Maintenance
We may release updates to the App from time to time. Updates may add, remove, or modify features. We have no obligation to maintain backward compatibility for project-state files between major versions, although we will try.
You are not required to install any update; however, older versions may stop working as Android updates the platform underneath them.
11. Termination
You may terminate these Terms at any time by uninstalling the App.
We may terminate your license to use the App if you materially breach these Terms. Upon termination, you must stop using the App and remove all copies from devices you control.
Sections 3 (restrictions), 4 (content responsibility), 6 (disclaimer), 7 (liability), 8 (indemnification), and 13 (governing law) survive any termination.
12. Changes to These Terms
We may revise these Terms at any time. Material changes will be reflected by:
- Updating the "Last updated" date above.
- Bumping the App's version number for the corresponding release.
- Mentioning the change in the Play Store release notes.
If you continue to use the App after a revision, you accept the revised Terms. If you disagree with any change, your remedy is to uninstall the App.
13. Governing Law
These Terms are governed by the laws of India, without regard to conflict-of-laws rules. Any dispute arising out of or related to these Terms or the App will be brought exclusively in the courts located in Bangalore, India.
If you are accessing the App from outside India, you are responsible for compliance with local law. Some provisions of these Terms may not apply in your jurisdiction; in that case, the rest of the Terms remain in force.
14. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and BinaryScript regarding the App. They supersede any prior or contemporaneous communications about the App.
If any provision of these Terms is held unenforceable, the remaining provisions stay in effect.
