1. Acceptance of Terms

By downloading, installing, or using the PromoReel mobile application ("the App", "we", "us", or "our"), you ("you", "user") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, please do not install or use the App.

These Terms form a legally binding agreement between you and BinaryScript (Nitesh), the developer of the App.

2. Description of Service

PromoReel is an offline-first mobile application that lets users create short vertical videos (primarily for WhatsApp Status and similar platforms) using their own photos, videos, text, music, and branding. All video rendering happens on the user's device. The App offers both a free tier (advertisement-supported) and paid subscription tiers ("Pro" and "Business") with additional features.

3. Eligibility

You must be at least 13 years old to use the App. If you are under the age of 18 (or the age of majority in your jurisdiction), you may use the App only with the consent and supervision of a parent or legal guardian. By using the App, you represent that you meet these requirements.

4. License to Use the App

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the App on devices you own or control, for your personal or internal business use.

You agree NOT to:

  • Copy, modify, reverse engineer, decompile, or disassemble the App, except to the extent permitted by applicable law.
  • Rent, lease, sell, redistribute, or sublicense the App.
  • Remove or alter any copyright, trademark, or other proprietary notices.
  • Use the App to create content that is unlawful, infringing, defamatory, obscene, hateful, harassing, or violates the rights of any third party.
  • Attempt to bypass the paywall, advertising, licensing, or any other technical measures included in the App.
  • Use automated tools, bots, or scripts to interact with the App.
  • Use the App in any manner that could damage, disable, or overburden it.

5. User Content

"User Content" means all photos, videos, music, text, logos, business information, and other material you import into, create with, or export from the App.

  • You retain full ownership of your User Content.
  • Since the App operates offline, your User Content is not uploaded to our servers. We do not access, store, or claim any rights over it.
  • You are solely responsible for your User Content, including ensuring you have the necessary rights and permissions to use any photos, videos, logos, music, names, or trademarks included in videos you create.
  • You must not use the App to create content that infringes copyright, trademarks, publicity rights, privacy rights, or any other rights of any person or entity.

6. Bundled Music and Assets

The App includes bundled royalty-free music tracks and other assets licensed to us by third-party providers. These assets are licensed to you only for use within videos created and exported through the App.

You agree NOT to:

  • Extract, copy, or redistribute the bundled music or assets outside of videos exported from the App.
  • Claim ownership of the bundled music or assets.
  • Use the bundled music or assets in any standalone manner.

Videos you export through the App that include the bundled music may be shared on WhatsApp, Instagram, Facebook, YouTube, and similar platforms, subject to those platforms' own terms.

7. Subscriptions and Payments

The App offers paid subscription tiers (Pro Monthly, Pro Yearly, Business Monthly, Business Yearly). Subscriptions are processed through Google Play Billing.

  • Prices, features, and limits of each tier are displayed inside the App before you subscribe.
  • Subscription fees are charged to your Google Play account upon purchase and upon each automatic renewal.
  • Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period. You can manage or cancel subscriptions through your Google Play account settings.
  • A free trial (where offered) will automatically convert to a paid subscription at the end of the trial period unless canceled beforehand.
  • Refunds are handled in accordance with Google Play's refund policy. We generally do not provide direct refunds; please contact Google Play support for refund requests. In exceptional cases, you may contact us at [email protected].
  • Taxes may apply based on your location and are handled by Google Play.

We reserve the right to change subscription prices, features, and tier structures. Price changes will not affect active subscription periods already paid for.

8. Advertisements (Free Tier)

The free tier of the App displays advertisements served by Google AdMob. By using the free tier, you agree to the display of such advertisements. We are not responsible for the content of third-party advertisements. Upgrading to a paid subscription removes advertisements from the App.

9. Watermark (Free Tier)

Videos exported using the free tier may include a PromoReel watermark. Paid subscribers can export videos without the watermark. Removing or altering the watermark by any means other than subscribing to a paid tier is strictly prohibited.

10. Daily Export Limits

The free tier limits the number of videos that can be exported per day. These limits are defined inside the App and may change from time to time. Paid subscribers are subject to the limits of their respective tiers.

11. Intellectual Property

All rights, title, and interest in and to the App — including the source code, design, motion style engine, UI, graphics, logos, and bundled assets — are owned by BinaryScript (Nitesh) or its licensors and are protected by copyright, trademark, and other intellectual property laws.

"PromoReel" and "BinaryScript" are trademarks of the developer. You may not use these marks without prior written consent.

12. Third-Party Services

The App integrates the following third-party services. Your use of the App means you also agree to the terms of these services:

  • Google Play Billing — for subscription purchases.
  • Google AdMob — for advertisements (free tier only).
  • Firebase Crashlytics — for anonymous crash reporting.

We are not responsible for the availability, accuracy, or conduct of these third-party services.

13. Privacy

Your use of the App is also governed by our Privacy Policy, which explains how data is handled. Please review it carefully. The Privacy Policy is incorporated into these Terms by reference.

14. Updates and Changes to the App

We may release updates, patches, or new versions of the App at our discretion. Some updates may be required for continued use. We may add, change, or remove features, motion styles, music tracks, subscription tiers, or other functionality at any time without prior notice.

15. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE APP WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

We do not warrant that the App will meet your requirements, that export times or video quality will match stated targets on every device, or that the App will be compatible with every device or operating system version.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BINARYSCRIPT (NITESH) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE APP IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR INR 500, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

17. Indemnification

You agree to indemnify, defend, and hold harmless BinaryScript (Nitesh) and its affiliates, officers, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the App.
  • Your User Content, including any claim that it infringes or violates any third-party right.
  • Your violation of these Terms or any applicable law.

18. Termination

We may suspend or terminate your license to use the App at any time, with or without notice, if you violate these Terms or if we discontinue the App. You may stop using the App at any time by uninstalling it.

Upon termination:

  • All licenses granted to you under these Terms will end.
  • Sections 5, 6, 11, 15, 16, 17, 19, and 20 will survive termination.
  • Active subscriptions will remain subject to Google Play's policies.

19. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the courts located in Kota, Rajasthan, India, unless otherwise required by applicable consumer protection laws of your country of residence.

20. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top and may notify you through the App or on the Google Play listing. Your continued use of the App after such changes constitutes acceptance of the updated Terms. If you do not agree with the updated Terms, please uninstall the App.

Summary (Plain Language)

PromoReel is a tool you use to create videos from your own content. You own what you make. Don't use the App for anything illegal or infringing.
