ListDial - Bulk Calls

Welcome to ListDial. These Terms of Service ("Terms") govern your use of the ListDial mobile application ("App") operated by Binaryscript Private Limited ("we", "our", or "us").

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, please do not use the App.

1. Acceptance of Terms

By accessing or using ListDial, you confirm that:

• You are at least 13 years of age
• You have the legal capacity to enter into these Terms
• You will comply with all applicable laws and regulations
• You accept these Terms and our Privacy Policy

2. Description of Service

ListDial is a productivity application that allows users to:

• Import contact lists from Excel (.xlsx) and CSV files, or from the device contact list
• Make phone calls, and send WhatsApp and SMS messages, to imported contacts
• Track call outcomes, lead stages, tasks, and notes
• Record voice notes against a contact
• Identify incoming callers who are in your list (Caller ID)
• Optionally detect replies from people you have contacted (Reply Detection)
• Export updated contact lists with call results

The App is designed for legitimate business and personal calling purposes only.

2.1 Optional Features

Several features are off by default and require permissions you grant yourself, including Caller ID, Reply Detection, voice notes, and the in-call overlay. You may enable or disable them at any time. Disabling a permission will disable the feature that depends on it. See our Privacy Policy for what each feature accesses.

3.1 When an Account Is Required

• If you are in India, you must sign in using Google Sign-In to use the App
• If you are outside India, no account or sign-in is required
• Your region is determined by your Google Play account country

3.2 Account Creation

• You are responsible for maintaining the security of your account
• You must provide accurate information during sign-in

3.3 Account Security

• You are responsible for all activities under your account
• Notify us immediately of any unauthorized access
• We are not liable for losses due to unauthorized account use

4. Subscriptions and Payments

ListDial requires an active subscription to use. How you pay depends on your region, which is determined by your Google Play account country.

4.1 Subscription Plans

• An active subscription is required to access the App
• Prices are displayed in your local currency before purchase

4.2 Payment Method by Region

• Outside India: payment is processed through Google Play Billing
• India: payment is processed through PhonePe / UPI, and your entitlement is verified against our servers
• Users who purchased through Google Play before India moved to PhonePe keep their existing Google Play subscription

4.3 Free Trials

• We do not operate our own free trial
• Where Google Play offers an introductory or free-trial period on the subscription, the terms shown to you in Google Play at the time of purchase govern that offer
• No trial period is offered on PhonePe / UPI purchases

4.4 Billing and Renewal

• Google Play subscriptions automatically renew unless cancelled, and are charged to your Google Play account
• Renewal occurs in accordance with Google Play's terms, generally 24 hours before the current period ends
• PhonePe / UPI purchases are governed by the plan duration and mandate terms shown at the time of purchase

4.5 Cancellation

• Google Play subscriptions: cancel anytime through Google Play subscription settings
• PhonePe / UPI purchases: cancel any recurring mandate through your UPI app, or contact [email protected]
• Access continues until the end of the current billing period
• Uninstalling the App does not cancel a subscription or a UPI mandate

4.6 Refunds

• We may change subscription prices with notice
• Price changes apply to the next billing cycle
• Continuing to use the service constitutes acceptance

5. Acceptable Use

5.1 You AGREE to:

• Use the App only for lawful purposes
• Respect the privacy of people you call
• Comply with telemarketing laws in your jurisdiction
• Obtain necessary consents before calling
• Use accurate caller information

5.2 You MUST NOT:

• Use the App for harassment, threats, or illegal activities
• Make calls that violate Do Not Call regulations
• Impersonate others or provide false information
• Attempt to reverse engineer or modify the App
• Use automated systems to abuse the service
• Resell or redistribute the App
• Use the App for spam or fraudulent purposes

5.3 Compliance with Laws

You are solely responsible for ensuring your use of the App complies with:

• Telemarketing and Do Not Call laws
• Data protection and privacy regulations
• Consumer protection laws
• Any other applicable laws in your jurisdiction

5.4 Your Responsibility as Data Controller

5.5 Reply Detection and Recording

• Only enable Reply Detection on a device you own or are authorised to use. It reads messaging notifications on that device
• Voice notes are recorded by you, for your own reference. You are responsible for complying with any consent or recording laws that apply to you

6. Intellectual Property

6.1 Our Rights

• The App, including its design, features, and content, is owned by Binaryscript Private Limited
• Our trademarks, logos, and branding are protected
• You may not copy, modify, or distribute our intellectual property

6.2 Your Rights

• You retain ownership of your data (contacts, outcomes, files)
• You grant us no rights to your imported data
• Your data remains on your device

7. Data and Privacy

7.1 Your Data

• Your contact data is stored locally on your device
• We do not upload or access your calling data
• See our Privacy Policy for detailed information

7.2 Data Security

• We implement reasonable security measures
• No system is 100% secure
• You are responsible for backing up your data

8. Disclaimers

8.1 "AS IS" Service

8.2 No Guarantee

We do not guarantee that:

• The App will be uninterrupted or error-free
• Defects will be corrected
• The App is free of viruses or harmful components
• Results from using the App will meet your expectations

8.3 Third-Party Services

• Phone calls are made through your device's dialer
• We are not responsible for call quality or connectivity
• Third-party services (Google, carriers) have their own terms

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Our total liability shall not exceed the amount you paid for the App in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Binaryscript Private Limited, its officers, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Your calling activities

11. Termination

11.1 By You

• You may stop using the App at any time
• Uninstall the App to remove all local data
• Cancel your subscription through Google Play, or through your UPI app for PhonePe purchases (see Section 4.5)

11.2 By Us

We may suspend or terminate your access if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Abuse the service
• Fail to pay subscription fees

11.3 Effect of Termination

• Your right to use the App ends immediately
• Provisions that should survive will remain in effect
• No refund for unused subscription period

12. Changes to Terms

• We may update these Terms from time to time
• Changes are effective when posted
• Continued use constitutes acceptance
• Material changes will be notified via the App or email

13. Governing Law

These Terms are governed by the laws of India. Any disputes shall be resolved in the courts of Raipur, Chhattisgarh, India.

Nothing in this section deprives you of the protection of mandatory consumer law in your country of residence, or of your right to bring proceedings in your local courts where that law gives you that right.

14. Dispute Resolution

14.1 Informal Resolution

Before filing a claim, contact us at [email protected] to attempt informal resolution.

14.2 Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration, except for claims that may be brought in small claims court.

15. General Provisions

15.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Binaryscript Private Limited.

15.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

15.3 Waiver

Failure to enforce any right does not constitute a waiver.

15.4 Assignment

You may not assign these Terms. We may assign our rights without notice.

15.5 Force Majeure

We are not liable for failures due to circumstances beyond our control.
